Central Register of Beneficial Owners - deadline approaching

We wish to remind you of the legal obligation to file beneficial ownership information with the Central Register of Beneficial Ownership of Companies and Industrial & Provident Societies (RBO).  You may have also received a reminder email from the Companies Registration Office.

The deadline for filing your company’s beneficial ownership details is Friday, 22 November 2019.  The only exception to this deadline is for companies incorporated after 22 June 2019 who have five months from date of incorporation to file beneficial ownership details with the RBO.  All filings should be made online at www.rbo.gov.ie and there are no paper forms or filing fees.

It is important to ensure you are using the same forename, surname, PPSN and date of birth that are registered with the Department of Employment Affairs and Social Protection for each individual.  If you are having issues in this regard, there are good examples of reasons for rejection of RBO submissions at 14.1 of the FAQ’s on the RBO’s website. 

Brian Keegan, Director of Advocacy and Voice, noted in a recent article in the Irish Examiner that compliance rates were low. 

However, if a company fails to complete the required filing by 22 November 2019, it may be guilty of an offence and be liable on summary conviction to a Class A fine of up to €5,000 and on conviction on indictment to a fine of up to €500,000.
